HotelMap Partner, Pro Partner and Pro+ Partner Terms

Definitions
1. In these Partner Terms:
  1. Affiliate means, in respect of either Party, any entity that controls that Party, which is controlled by that Party, or is under common control with that Party, where "control" means the beneficial ownership or control of 50% or more of the voting rights in the relevant entity;
  2. Attendee means anyone attending an Event, including exhibitors, contractors, hosted buyers, Partner staff, delegates, and other visitors;
  3. Commission Income Share means the share of Commission Income that is payable to Partner for an Event;
  4. Commission Income means the total commission generated and received from Room Suppliers on all Completed Bookings related to an Event;
  5. Completed Booking means a Room Booking where the Attendee has completed their stay and the Room has been paid for;
  6. Concierge Booking means a Room Booking made, managed or modified with the aid of a HotelMap concierge agent (the booking required HotelMap team members to spend time on assisting the customer);
  7. Confidential Information means all non-public information disclosed at any time, directly or indirectly, by or on behalf of one Party to the other Party;
  8. Content means all written content, data, metadata, images and other information provided by a Party, including that Party's trade and service marks, logos, customer information, text, photography, statistics, graphics, links, documents, data, materials, tools, icons, audio, visual, software, symbols and characters incorporated into and available through any electronic means;
  9. Data Processing Agreement means the data processing agreement located at https://partners.hotelmap.com/dpa as such agreement and URL are updated from time to time;
  10. Data Protection Legislation means the General Data Protection Regulation 2016/679, as amended from time to time, and all other applicable privacy and data protection laws and regulations, as well as any guidance and/or codes of practice issued from time to time by the Information Commissioner and any equivalent or similar laws in any relevant jurisdiction;
  11. Dynamic Delegate Rates means contracted hotel deals where the price is not fixed, but instead in indexed against the market rates from the hotel, often contracted as a discount off of the current market rate. Such rates may be just for an event’s dates or for an open period of time – such as when a Dynamic Delegate Rate is contracted for a venue's HotelMap;
  12. Events means all events organised by or on behalf of Partner;
  13. Excluded Event means an Event the parties have agreed is excluded from the Agreement on an exceptions basis, as listed in the applicable Agreement;
  14. Hotel means, per Event, a hotel promoted on the HotelMap Platform for that Event;
  15. HotelMap Hotel Rates means hotel rates contracted by HotelMap;
  16. HotelMap Integration Checklist means the technical and other integration activities required to implement the HotelMap Platform.
  17. HotelMap Platform or HotelMap Pro Platform means the platform and related services made available by HotelMap to enable Room Bookings and provide access to hotel rates, room availability, property descriptions, cancellation policies and other features;
  18. Incompatible Event means an Event that cannot integrate to the HotelMap Platform, for example because of the Event's existing direct hotel contracts, technical limitations, or otherwise;
  19. Intellectual Property Rights means all rights in and to any copyright, moral rights, patents, trade marks, designs, databases, domain names, trade names, trade secrets, knowhow, software and other information, together with all associated goodwill, rights in unfair competition rights, for passing off and for past infringement, in each case whether registered or unregistered and whether arising automatically at law or relating to any statutory procedure anywhere in the world;
  20. Launch Date means the date for each Event when the HotelMap Platform is available to Attendees to make Room Bookings, such as via the applicable Event Website;
  21. Marketing Activities means Partner’s promotional efforts to drive Event Attendee awareness and traffic to the HotelMap hotels page, including but not limited to: inclusion of hotel information in search campaigns, website retargeting, site-wide banners or content panels, email communications to Attendees, and customer service interactions.
  22. Merchant or Merchant of Record means the party with which the customer is contracting for their hotel stay. The merchant usually sets the prices and terms and takes the payments and is responsible for tax invoicing. The Merchant is also the Room Supplier;
  23. Online Booking means a booking made, managed or modified online by the guest themselves and not requiring the assistance of a HotelMap concierge agent;
  24. Partner means the HotelMap client using the HotelMap or HotelMap Pro Platform. Partners are usually event organisers, event management companies, venues, travel management companies or corporate clients;
  25. Partner Contracted Room Blocks means exclusive contracted room blocks that are contracted by the Partner and not by HotelMap. These may be online or offline room blocks;
  26. Party means a party to these Partner Terms i.e. HotelMap and Partner;
  27. Personal Data has the meaning ascribed to it in the Data Protection Legislation;
  28. Rate means the rate per night of a Room, excluding tax unless otherwise stated, as set by the applicable Room Supplier;
  29. Room means a room in a Hotel;
  30. Room Booking means a single booking for one or more Rooms, made via the HotelMap Platform or with the Hotel, for the applicable Event;
  31. Room Supplier means a Hotel or other supplier of Rooms;
  32. Targets means performance targets set by the Parties from time to time; and
  33. Term means the period starting on the effective date of the Agreement and ending either on the date 3 years after the Effective Date or such later date after any autorenewal;
  34. Transaction Fees means the fees paid by Partners to distribute rooms from Partner Contracted Room Blocks. Transaction Fees are paid monthly at the end of the month that a room booking is entered into the HotelMap platform;
